Terms & Conditions of Sale (Updated)
1. Customer Acknowledgement
The Customer acknowledges agreement with these Terms and Conditions of Sale by the placement of an order to purchase product from Pharmasales Pty. Ltd (ACN 624875207) or The Dunbar Investment Trust ABN 63208161397. PHARMASALES is the trading name of PHARMASALES Pty. Ltd. This contract of sale is between the entity named on the invoice (the 'Customer') and PHARMASALES Pty. Ltd or The Dunbar Investment Trust. All goods are supplied on these terms and conditions only and no person has any authority to vary them. These terms are governed by the laws of Victoria.
2. Return or Exchange of Goods
PHARMASALES will refund or credit goods returned within 7 days if they are in original condition and packaging. Returns are not accepted if seals are broken, except if faulty. A restocking fee of up to 25% may apply.
3. Warranty Information
All products are covered by the manufacturer's warranty. PHARMASALES makes no additional warranty beyond what the manufacturer provides.
4. Delivery of Goods
Delivery times are estimates only. The Customer is responsible for any loss resulting from refusal to take delivery. Goods are at the Customer’s risk upon delivery.
5. Title of Goods
Goods remain the property of PHARMASALES until paid in full. The Customer holds goods as bailee until full payment.
6. Payment/Default Interest/Storage Charges
Payment must be made in full by the due date. PHARMASALES may charge collection fees, interest, restocking fees, or storage fees where applicable.
7. Errors and Omissions
While we strive for accuracy, PHARMASALES is not liable for typographical or pricing errors. We reserve the right to correct or cancel such orders.
8. Limitation of Liability
PHARMASALES shall not be liable for indirect or consequential damages. Maximum liability shall not exceed the purchase price of the goods.
9. All Sales Made in Victoria All sales shall be deemed made in Victoria, and disputes shall be heard exclusively in Victorian courts.
10. General
PHARMASALES warrants it has good title to all products sold. Any unlawful or unenforceable section shall be severed without affecting the rest of the Terms.
11. Personal Guarantee
PHARMASALES reserves the right to pursue company directors or business owners personally for losses resulting from non-payment.
12. Resale of Goods
a. The Customer acknowledges that goods supplied by PHARMASALES are intended for retail sale and/or end-user consumption only, unless otherwise expressly authorised in writing by PHARMASALES.
b. The Customer must not resell, on-sell, distribute, or otherwise supply the goods to any third party without the prior written consent of PHARMASALES.
c. If resale is approved, the Customer must: (i) Represent the goods accurately and not mislead consumers regarding the origin, quality, or relationship with PHARMASALES; (ii) Not remove or alter any branding, packaging, batch codes, or serial numbers; (iii) Ensure all advertising and representations comply with Australian Consumer Law and any applicable TGA requirements; and (iv) Not engage in parallel importation, unauthorised online resale, or bulk export resale without written consent.

d. PHARMASALES reserves the right to terminate supply, suspend accounts, or pursue remedies where goods are resold in breach of this clause.

e. The Customer indemnifies PHARMASALES against all claims, losses, or damages arising from unauthorised resale or misleading representations made by the Customer or its agents.
